By accessing or using the Galenie ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

The Galenie provides practice management tools for mental health professionals, including:

• Client management and scheduling
• Clinical note documentation
• Session management and calendar integration
• AI-assisted documentation features (on applicable plans)

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Provide accurate and complete registration information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use
• Use two-factor authentication when available

4. Healthcare Provider Responsibilities

As a healthcare provider using this Service, you acknowledge and agree that:

• You are solely responsible for complying with all applicable healthcare laws and regulations, including HIPAA (US) and GDPR (EU)
• You must obtain appropriate client consent before using AI features or audio recording
• You are responsible for the accuracy and appropriateness of clinical documentation
• AI-generated content should be reviewed and verified before use
• You will maintain appropriate professional liability insurance

5. Client Data and Privacy

You retain ownership of all client data entered into the Service. We process client data only as necessary to provide the Service and in accordance with our Privacy Policy and any applicable Business Associate Agreement (BAA).

6. Subscription and Billing

Paid features require a subscription. By subscribing, you agree to:

• Pay all applicable fees for your selected plan
• Automatic renewal unless cancelled before the billing period
• Price changes with 30 days advance notice

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Share accounts or credentials with unauthorized users
• Use the Service to store or transmit malicious code

8. AI Features Disclaimer

AI-generated content is provided as an assistive tool only. You acknowledge that:

• AI outputs may contain errors and must be reviewed
• AI does not replace professional clinical judgment
• You are solely responsible for all clinical decisions
• AI usage is subject to monthly limits on applicable plans

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

11. Termination

Either party may terminate this agreement at any time. Upon termination:

• You may export your data within 30 days
• We will delete your data after the retention period unless legally required to retain it
• Billing will cease at the end of the current period

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These terms shall be governed by the laws of the jurisdiction in which our company is registered, without regard to conflict of law principles.
